Terms of Service
1. Agreement
These Terms of Service ("Terms") govern the provision of all digital marketing services by Cre Construction LIMITED ("Agency") to you ("Client"). This document, along with any executed Statement of Work (SOW), constitutes the entire agreement between the parties.
2. Service Provision and Timelines
The Agency will provide the digital marketing services as described in the applicable SOW. While the Agency will make every reasonable effort to meet project timelines, the Client acknowledges that timelines can be affected by factors such as delayed feedback, changes in scope, or third-party platform issues. The Agency is not liable for delays caused by such factors.
3. Payment Terms
Client agrees to pay the fees outlined in the SOW. Typically, services are billed on a recurring monthly basis. Invoices are due upon receipt. A late fee may be applied to invoices outstanding for more than 30 days. All payments for third-party media buys (e.g., Google Ads, Meta Ads) are the direct responsibility of the Client.
4. Legal Disclaimers
The Agency provides services based on industry best practices but makes no guarantee of specific results. The Client understands that digital marketing performance is subject to external factors beyond the Agency's control, such as search engine algorithm changes. The Agency is not liable for any loss of ranking, traffic, or revenue. The total liability of the Agency under this agreement is limited to the fees paid by the Client in the preceding one (1) month.
5. Confidentiality
Both parties agree to treat all information from the other party as confidential, including business strategies, data, and reports. This information shall not be disclosed to any third party without written consent, except as required by law.
6. Intellectual Property
Upon full and final payment, the Client will own the specific, final deliverables created by the Agency for the Client. The Agency retains ownership of all its pre-existing materials, tools, software, and proprietary methodologies used in the creation of the deliverables.
7. Termination
This agreement may be terminated by either party with 30 days' written notice. The Client is responsible for all fees incurred up to the date of termination. Upon termination, the Agency will cooperate in the transition of all relevant accounts and data back to the Client.
8. Governing Law
These Terms shall be governed by the laws of the state in which Cre Construction LIMITED is registered, without regard to its conflict of law principles.
